entering into a Purchase Contract to acquire a Lot and/or a Residential Dwelling Unit shall constitute an
agreement that the Declaration, these By-Laws and the Rules and Regulations (hereinafter "Project
Instruments"), as each may lawfully be amended from time to time, are accepted, ratified and will be
strictly observed.
Section 4. Membership.
Each Owner and Declarant, so long as it is deemed to be the Owner of any Lot(s), in accordance with
the provisions of the Declaration, shall constitute the members of the Association. Transfer of a Lot,
whether such transfer occurs voluntarily or by operation of law, shall immediately and automatically
terminate the transferror's membership in the Association, except to the extent that such transferor
retains an interest in any other Lot(s) in the Subdivision. The transfer of a Lot shall be deemed to have
occurred upon the recording in the Recorder's Office of Wayne County, Pennsylvania, of the
instrument transferring title from the transferor to the transferee, the filing of a true and correct copy of
such instrument with the Board or its Manager and the payment of any transfer fees required or
authorized by the Project Instruments. The transferee shall, immediately and automatically upon the
occurrence of the foregoing events, become a member of the Association. If a Lot is owned by more
than one (1) person, then all of the persons so owning said Lot shall be members of the Association
and shall be eligible to hold office, attend meetings and exercise all of the other rights of an Owner
which are granted by the Project Instruments. However, the vote associated with a bot shall be cast
only by the "voting member", as provided herein.
Section 5. Member in Good Standing.
A member in good standing shall mean and refer to a Member who has paid in full all outstanding dues,
assessments, fines, citations, late charges, interest, attorney's collection fees, legal costs of litigation,
restitution for damages and all other charges levied pursuant to the authority granted in these
Covenants and By-Laws.
ARTICLE III. ASSOCIATION MEETINGS
Section 1. Annual Association Meetings.
An Annual Association Meeting shall be held at least once each calendar year, at such date and time
as the Board of Directors shall designate, commencing with the year immediately following the year in
which the organizational meeting was held. At the organizational Association meeting and at all annual
Association meetings, the members shall elect a Board of Directors in accordance with the provisions
of these By-Laws subject to Article IV, Section 2 below and shall transact such other business as may
properly come before them.
